Contract between Fan and Creator

This Contract between Fan and Creator ("Agreement") governs each interaction between a Fan and a Creator on Denofans (a "Creator Interaction").

This Agreement applies each time a Creator Interaction is initiated and is legally binding between the Fan and the Creator.

This Agreement applies to the exclusion of any other terms proposed by the Fan or the Creator for a Creator Interaction.

The Agreement is subject to and incorporates by reference Denofans's Terms of Service (/terms) and policies, including the Complaints Policy (/complaints).

The only parties to this Agreement are the Fan and the Creator participating in the relevant Creator Interaction.

Idolo Media and Technologies Ltd (the operator of Denofans) is not a party to this Agreement or any Creator Interaction except as set out in the Denofans Terms of Service and to the extent required to facilitate payments, access control, and platform functionality.

"Creator" means a user who has set up a creator account to publish content for fans to view.

"Fan" means a user who registers for an account and can access a creator’s content via a Creator Interaction.

"Creator Interaction" means any interaction on Denofans that grants access to a creator’s content, including: (i) a subscription; (ii) a pay-per-view purchase; (iii) paid messages or other paid interactions if available; and (iv) tips or donations where applicable.

"Fan Payment" means any payment related to a Creator Interaction.

"Relevant Content" means the content or benefit to which a Creator Interaction relates.

By initiating a Creator Interaction, the Fan agrees to pay the applicable Fan Payment plus any taxes required by law.

The Fan authorizes Denofans and its payment providers to process payments for Creator Interactions, including recurring subscription renewals.

Denofans is authorized to deduct platform fees, to pay out creator earnings, and to withhold or adjust payments in cases of chargebacks, refunds, or fraud review as described in the Terms of Service.

When the Fan selects “Subscribe,” the Fan agrees to start a subscription to a Creator. A subscription automatically renews at the then-current rate (plus applicable taxes) unless the Fan cancels before the renewal date.

By subscribing, the Fan agrees they will not receive further notice of each renewal charge, except where required by law or where the subscription price changes.

As part of a Creator Interaction, the Creator grants the Fan a personal, non-transferable, non-sublicensable, non-exclusive licence to access Relevant Content through Denofans for the duration of the Creator Interaction and subject to Denofans’ Terms.

This licence does not grant the Fan any ownership rights in Relevant Content.

The licence expires automatically without notice if: (a) the Fan Payment is unsuccessful, charged back, or reversed; (b) the Creator deletes the Relevant Content or their account; (c) the subscription period ends; (d) the Fan’s account is suspended or terminated; or (e) the Fan breaches the Denofans Terms of Service.

Denofans reserves the right to remove content at any time under its Terms and policies. The Fan acknowledges that Creators may remove content, including pay-per-view content, at any time.

Cancellations and refunds are subject to Denofans’ Terms of Service and applicable law.

The Fan agrees not to initiate chargebacks except in good faith for genuine disputes. Bad-faith chargebacks may result in account action.

The Creator is solely responsible for creating and publishing Relevant Content and for holding the rights necessary to grant the licence above.

The Fan is responsible for making the required Fan Payment and for complying with Denofans’ Terms, including prohibitions on recording or redistributing content.

The Fan assumes risk of accessing Relevant Content except where the Creator has breached duties owed to the Fan under applicable law.

The Fan acknowledges that circumstances may prevent access to Relevant Content (e.g. platform downtime, content removal, account suspension). Denofans does not guarantee uninterrupted access.

This Agreement is governed by the laws of Nigeria, subject to any mandatory consumer protection rights that apply where the Fan lives.

Where permitted by law, claims arising under this Agreement must be brought in the courts of Nigeria.
